Armstrong World Industries, Inc. (the “Company”) announced recently the commencement of a secondary public offering of 5,200,000 common shares held by The Armstrong World Industries, Inc. Asbestos Personal Injury Settlement Trust and Armor TPG Holdings LLC (together, the “Selling Shareholders”). The underwriters will have a 30-day option to purchase up to an additional 780,000 common shares from the Selling Shareholders. The Company itself is not selling any shares and will not receive any proceeds from the offering.
BofA Merrill Lynch, Barclays, Citigroup, Deutsche Bank Securities, Goldman, Sachs & Co. and J.P. Morgan will be the joint book-running managers of the offering.
The shares will be offered pursuant to the Company’s effective registration statement on Form S-3 previously filed with the U.S. Securities and Exchange Commission (the “SEC”). The Company has also filed with the SEC a preliminary prospectus with respect to this offering.
